ARCTHEON grants you a non-exclusive, non-transferable, revocable subscription to use the AEMS platform in accordance with your subscription tier or purchased subscription. This subscription is for your internal business use only.
Valid for the duration of your active subscription. Includes access to the AEMS cloud platform, Team Member execution, dashboards, APIs, and connected apps as defined by your plan tier. Terminates upon cancellation or non-payment.
A one-time, perpetual subscription for self-hosted AEMS dashboard installation. Includes dashboard features (monitoring, analytics, configuration) but does not include cloud Team Member execution. Subscription is tied to a specific hardware fingerprint. Transferable with written notice.
Enterprise evaluation available upon request. Contact our sales team for temporary access with limited Team Member deployments. Requires a paid subscription or local install subscription to continue after evaluation period.
You may not: (a) subsubscription, resell, or distribute the Service; (b) reverse engineer or decompile the platform; (c) use the Service to build a competing product; (d) remove proprietary notices; (e) exceed the Team Member deployment limits of your subscription tier.
Local Install subscriptions require activation via a unique subscription key. The key is validated against our subscription server during installation and periodically thereafter. A subscription key is tied to a single hardware fingerprint.
Cloud subscriptions may be upgraded or downgraded at any time (downgrades take effect next billing period). Local Install subscriptions may be transferred to new hardware with a subscription reset request. Contact support for subscription transfers.
We reserve the right to audit your use of the Service to verify compliance with subscription terms. Audits will be conducted with reasonable notice and during business hours.
Subscription terminates upon: (a) cancellation of subscription; (b) breach of terms; (c) non-payment. Upon termination, you must cease use of the Service. For Local Install, uninstall within 30 days.
The AEMS platform, including all software, code, designs, documentation, trademarks, logos, and branding, is the exclusive intellectual property of ARCTHEON. No rights, title, or interest in any intellectual property are transferred to you under this Agreement, except for the limited subscription rights expressly granted herein. You may not remove, alter, or obscure any proprietary notices.
To the maximum extent permitted by law, in no event shall ARCTHEON be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of the Service. The total liability of ARCTHEON for any claim arising under this Agreement shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. ARCTHEON & CO. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
This License Agreement is binding in English. The Spanish translation is provided for accessibility only. The English version is the authoritative version and is the version you agree to. In the event of any conflict between the English and Spanish versions, the English version shall prevail.
