These Terms of Service ("Terms") govern your access to and use of the AEMS platform and all related services (the "Service"), operated by ARCTHEON ("Company," "we," "us," or "our"). By creating an account, deploying a Team Member, purchasing a license, or using the Service in any way, you agree to be bound by these Terms and by our Privacy Policy. If you use the Service on behalf of a business, you represent that you have authority to bind that business to these Terms. If you do not agree to these Terms, do not use the Service.
AEMS is an Autonomous Employee Management Suite: software that deploys and manages digital Team Members that perform business tasks such as sales outreach, scheduling, email handling, customer relationship management, bookkeeping support, and reporting. The Service includes a web dashboard, connected-app integrations, a built-in CRM, task management, and configuration of third-party brain services (language model providers) that power Team Members' reasoning. The Service does not include human labor, professional licensed services, or guaranteed business outcomes.
You must be at least 18 years old and provide accurate, complete, and current information when creating an account. You are responsible for safeguarding your credentials, for all activity that occurs under your account, and for notifying us immediately of any unauthorized access. One account may represent one business; you may invite your own employees as sub-users and are responsible for their use of the Service under your account.
The Service is offered as a monthly subscription priced per Team Member plan as published on our pricing page. Brain services (third-party language model providers) are contracted by you directly with those providers under your own accounts and are billed by them at their then-current rates; we do not mark up, resell, or control their pricing. Where we process payments, they are handled by third-party payment processors (Stripe, Inc.); we do not store your payment card data. Fees are non-refundable except as required by law. We may change our pricing with 30 days notice; changes apply to the next billing cycle. You are responsible for any taxes applicable to your use of the Service.
You may create an account at no cost. Subscription charges begin only when you deploy a Team Member or purchase a local install license. You are responsible for all charges incurred under your account.
You agree not to use the Service, and not to instruct Team Members, for any unlawful purpose, in violation of these Terms, or in a way that infringes the rights of others. Without limitation, you may not use the Service to send spam or unsolicited commercial email, harass or defraud any person, generate or distribute malware, violate intellectual property rights, misrepresent your identity or the origin of communications sent by your Team Members, scrape or reverse engineer the Service, circumvent security or usage limits, or assist any third party in doing so. You are responsible for the instructions you give and the work products you accept from Team Members. We may suspend or terminate accounts that violate these rules.
The Service connects to third-party products and services, including brain service providers (such as Ollama, OpenAI, Anthropic, and Google), email providers, storage providers, CRMs, scheduling tools, and telephone services. These connections use accounts and credentials you provide. Your use of those third-party services is governed by their own terms and privacy policies, and we are not responsible for their availability, pricing, actions, or handling of your data. Where a Team Member acts through a third-party service, that provider's terms also apply. We do not warrant any third-party service and are not liable for its failures.
Team Members are software tools, not licensed professionals, and the Service does not provide legal, accounting, tax, medical, financial, insurance, or other professional advice or services. Nothing produced by a Team Member is a substitute for review by an appropriately licensed professional. If your business is regulated, you remain solely responsible for determining that your use of the Service complies with the laws, regulations, and professional obligations that apply to you, and for having licensed professionals review any work product that requires it.
Team Members are powered by third-party language models, and their outputs are generated automatically. We do not guarantee that any output is accurate, complete, current, or fit for any particular purpose. While the Service includes automated quality checks, no automated review is perfect. You agree to review and verify all work products before relying on them, sending them to customers, filing them, or otherwise using them. You are solely responsible for the consequences of using any system-generated content.
You retain ownership of all data you provide to the Service, including your customer records, documents, and business information. Our handling of that data is described in our Privacy Policy, which is incorporated into these Terms. We implement reasonable and industry-standard security measures, including encryption of credentials at rest and in transit, per-tenant data isolation, and signed audit logging. We do not use your business data to train language models.
The AEMS platform, including its software, design, documentation, and branding, is the exclusive property of ARCTHEON and its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service during your active subscription or license period, solely to operate your business. You retain all rights in your own data; you grant us a limited license to host, process, and transmit that data as needed to provide the Service. You may not copy, modify, distribute, sell, lease, or reverse engineer the Service or create derivative works based on it.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT TEAM MEMBERS WILL PRODUCE ACCURATE OUTPUT, OR THAT ANY BUSINESS RESULT OR RETURN ON INVESTMENT WILL BE ACHIEVED. THIRD-PARTY BRAIN SERVICES AND INTEGRATIONS MAY CHANGE, DEGRADE, OR BE DISCONTINUED AT ANY TIME OUTSIDE OUR CONTROL. YOUR ONLY REMEDY FOR DISSATISFACTION WITH THE SERVICE IS TO STOP USING IT AND CANCEL YOUR SUBSCRIPTION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARCTHEON AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100). NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE EXCLUDED BY LAW.
You agree to indemnify, defend, and hold harmless ARCTHEON and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms or any law or third-party right; (c) content or instructions you provide, including instructions given to Team Members; or (d) your breach of any third-party service's terms. We will provide you notice of any claim we seek indemnity for, and you may not settle a claim without our consent. This obligation survives termination of these Terms.
You may cancel your subscription at any time from your account settings; cancellation takes effect at the end of the current billing period, after which your Team Members stop working. We may suspend or terminate your account for nonpayment, violation of these Terms, or where required by law. Before termination, you may export your data using the tools provided in the Service. After termination, your data is retained for 30 days in case you reactivate, after which it is deleted, except where retention is required by law or to defend legal claims. Sections 7 through 14 and 17 through 27 survive termination.
If you purchase a local installation license, you receive a non-exclusive, non-transferable, revocable license to install and operate AEMS on hardware you control for the duration of your license period, subject to these Terms. You may not redistribute, resell, sublicense, or provide the software as a service to third parties. You are solely responsible for your infrastructure, its security, and your compliance obligations. Licenses are validated through our license system or an air-gapped activation key we provide. We may revoke licenses that violate these Terms.
We may modify these Terms at any time. When we make material changes, we will notify registered users by email or in-app notification at least 14 days before the changes take effect, and we will update the "Last Updated" date at the top of this page. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you may cancel as described above. We may also add, change, or discontinue features of the Service; where a change is material and adverse to a paid subscription, we will provide advance notice and an opportunity to cancel.
You consent to receive communications from us electronically, including at the email address associated with your account and through in-app notifications. These communications include notices about your account, billing, approvals, security, and changes to these Terms or our policies. Electronic communications satisfy any legal communication requirement. You are responsible for keeping your email address current.
We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, failures of the internet or public utilities, failures of third-party providers including brain service providers, government action, or changes in law.
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms, including in connection with a merger, acquisition, or sale of assets. Any attempted assignment in violation of this section is void.
If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
You agree to comply with all applicable export control laws and regulations. You represent that you are not located in, and are not using the Service on behalf of any person in, any country or region subject to comprehensive U.S. sanctions, and that you will not use the Service for any purpose prohibited by those laws.
If you have questions about these Terms, contact us through the Contact page in the Service or at support@arctheon.co. Notices to us that have legal effect may be sent to the email address published on our Contact page; email notice is valid and effective to the extent permitted by applicable law.
Any dispute arising from these Terms or your use of the Service will first be addressed through good-faith informal negotiation for 30 days after written notice of the dispute. If unresolved, the dispute will be resolved by binding arbitration administered under the rules of the American Arbitration Association, held in Sheridan, Wyoming. Either party may bring a claim only in an individual capacity, not as a plaintiff or class member in a class, collective, or representative proceeding; the arbitrator may not consolidate claims of multiple parties. You waive any right to a jury trial to the extent permitted by law.
These Terms and any dispute arising from or relating to them are governed by the laws of the State of Wyoming, United States of America, without regard to conflict-of-law provisions. The parties agree to the exclusive jurisdiction of courts located in Sheridan, Wyoming for any action not subject to arbitration, and consent to personal jurisdiction there.
These Terms, together with our Privacy Policy, Subscription Policy, and any local install license terms, form the entire agreement between you and ARCTHEON regarding the Service and supersede all prior agreements and understandings on that subject.
These Terms, the Privacy Policy, and the Subscription Policy are binding in English. The Spanish translation is provided for accessibility only. The English version is authoritative and is the version you agree to. In any conflict between the English and Spanish versions, the English version governs.
